These Terms of Service ("Terms") form a legally binding contract between you ("you", "your", "User") and izyLrn ("izyLrn", "we", "us", "our"), governing your access to and use of our website, mobile and web applications, AI tutor, learning content, live coaching marketplace, APIs, and any related products (collectively, the "Service").

By creating an account, signing in, accessing any page that requires authentication, purchasing a subscription, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, you must immediately stop using the Service.

We may publish supplemental policies, plan-specific terms, and community guidelines from time to time. Those documents are incorporated into these Terms by reference and are equally binding.

• The Service is intended for users aged 13 years and above. Users between 13 and 18 must obtain verifiable consent from a parent or legal guardian who agrees to these Terms on the user's behalf and assumes full responsibility for the minor's use of the Service.
• You must provide accurate, current and complete information at signup and keep it updated. Providing false information, fake identities, or impersonating another person is grounds for immediate termination without refund.
• One account per person. You may not share, sell, transfer or sub-licence your account, credentials, or active subscription to anyone else. Concurrent logins from multiple devices in a manner inconsistent with personal use will be flagged and may trigger automatic suspension.
• You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
• We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

Subject to your continued compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service strictly for your own personal, non-commercial educational purposes.

This licence does not grant you any right to:

• copy, reproduce, republish, mirror, frame, scrape, sell, rent, lease, sublicense, distribute, or commercially exploit any part of the Service or its content;
• use the Service or any data harvested from it to train, develop, evaluate, or fine-tune any artificial intelligence model, dataset, or competing product;
• use automated systems, bots, crawlers, scripts, or any other means to extract data, questions, answers, AI responses, or analytics from the Service;
• create derivative works of, decompile, disassemble, reverse-engineer, or attempt to discover the source code of any part of the Service;
• remove, obscure, or alter any copyright, trademark, watermark, or proprietary notice; or
• use the Service in any manner that competes with izyLrn or assists a competitor.

All rights not expressly granted to you are reserved by izyLrn.

• Paid subscriptions to izyLrn are billed in advance on a recurring basis (monthly, quarterly, or annually) and renew automatically at the then-current rate until you cancel.
• By providing payment information you authorise us and our payment processors (currently Stripe and Razorpay) to charge the applicable fees, taxes and surcharges to the chosen payment method.
• You may cancel future renewals at any time from your account settings. Cancellation stops the next charge but does not entitle you to a refund of the current term — see our Refund Policy.
• We may change pricing, plan inclusions, token costs, AI usage limits, or fee structures at any time. Material increases will be communicated by email or in-app notice at least 14 days before they take effect for renewing subscribers.
• Failed or declined payments may result in immediate suspension of paid features. Repeated failures may result in account closure.
• All amounts are exclusive of GST, VAT, and other applicable taxes, which will be added at checkout where required.

Certain Service features (e.g., advanced AI usage, live coaching sessions) are gated behind an in-app currency we call tokens. Tokens have no cash value, are not legal tender, and cannot be exchanged for currency, transferred between accounts, or sold.

• All token purchases are final and non-refundable.
• Unused tokens may be forfeited if your account is terminated for breach of these Terms.
• We may change the token cost of any feature or expire promotional token grants at any time.

You retain ownership of files, notes, PDFs, photographs, voice recordings, prompts, and any other material you upload or submit to the Service ("User Content").

By uploading or submitting User Content you grant izyLrn a worldwide, royalty-free, sublicensable, irrevocable (during the period of use) licence to host, store, reproduce, transmit, transcribe, translate, summarise, index, and display the User Content for the limited purposes of operating, improving, securing, and providing the Service to you and to comply with legal obligations.

You represent and warrant that:

• you own or have all necessary rights to the User Content;
• your User Content does not infringe any third-party intellectual property, privacy, or other rights;
• your User Content does not violate any law, regulation, or these Terms.

We do not use your private User Content to train our AI models without your consent. We may use aggregated, de-identified usage signals (e.g., click rates, error patterns) to improve the Service.

We may remove any User Content that we believe in good faith violates these Terms, applicable law, or the rights of a third party — without prior notice and without liability.

The Service, including all software, designs, text, graphics, illustrations, animations, video, audio, the izyLrn brain logo, the "izyLrn" wordmark, the question bank, lesson scripts, chapter summaries, AI prompts, knowledge graph, and arrangement of content, is the exclusive property of izyLrn or its licensors and is protected by Indian and international copyright, trademark, patent, and trade-secret laws.

No rights are granted to you in respect of any trademarks, service marks, brand assets, or trade names of izyLrn except as expressly authorised in writing.

Any feedback, ideas, or suggestions you submit may be used by us without restriction or compensation to you.

Live coaching sessions are facilitated through independent tutors who are not employees, agents or partners of izyLrn. We act solely as a technology platform connecting students with tutors and are not responsible for the conduct, quality, accuracy, timeliness, or completeness of any tutor's session.

• You are responsible for evaluating tutor profiles, ratings, and credentials before booking.
• Disputes about session quality must be raised within 24 hours of the session via in-app channels. We may, at our sole discretion, mediate, refund tokens, or take action against a tutor — but we are not obligated to do so.
• If a verified tutor fails to attend a confirmed session, the booking tokens will be credited back automatically.
• You agree not to contact, hire, transact with, or recruit any tutor outside the Service for at least 12 months after first contact via the Service.

We strive for high uptime but provide the Service on a "best-effort" basis without any availability guarantee, SLA, or uptime commitment unless specifically agreed in a separate written enterprise contract.

We may, at any time and without liability:

• add, modify, suspend, restrict, or discontinue any feature, plan, integration, or content;
• change the underlying AI models, vendors, or infrastructure;
• perform scheduled or emergency maintenance;
• limit or throttle usage to protect the Service for all users;
• terminate the Service in whole or in part with reasonable notice.

The Service may rely on, link to, or integrate with third-party services such as payment gateways, AI providers, identity providers, analytics tools, and content sources. Your use of those third-party services is governed by their own terms and policies; we are not responsible for their content, availability, security, or actions.

If a third-party service becomes unavailable, changes its terms, or imposes new fees, we may modify, restrict, or discontinue any related Service feature without liability.

You agree to defend, indemnify and hold harmless izyLrn, its officers, directors, employees, contractors, agents, affiliates and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including reasonable attorney's fees) arising from or in any way connected with:

• your access to or use of the Service;
• your violation of these Terms or any applicable law;
• your User Content or any content you submit, transmit, or display;
• your violation of any third-party right, including intellectual property, privacy, or publicity rights;
• any dispute between you and another user, tutor, parent, school, or third party.

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.

izyLrn shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including without limitation acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, power outages, denial-of-service attacks, or failure of upstream service providers (including AI vendors, payment gateways, and cloud infrastructure).

We may revise these Terms at any time. The "Effective date" at the top of this page indicates when the Terms were last revised. For material changes that adversely affect your rights, we will provide at least 14 days' notice via email or in-app notice before the changes take effect.

Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service before the changes take effect.

• Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and izyLrn regarding the Service and supersede all prior communications.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
• No waiver. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms at any time without notice.
• No third-party beneficiaries. These Terms do not create any rights enforceable by any third party.
• Notices. We may give notices by email to your registered address, by in-app notification, or by posting on our website. You consent to receive notices electronically.
• Language. The English version of these Terms shall prevail in the event of any inconsistency with any translation.
